Joseph J. Fittante
Joseph J. Fittante is a shareholder and member of Larkin Hoffman’s Corporate Law Department. He works in the franchise and distribution area advising franchisors on various topics, including structuring the franchise relationship and registration and disclosure issues. Joe also advises manufacturers on creating distribution networks that do not fall within the purview of state franchise or business opportunity laws and counsels his clients on the management of these networks. He routinely represents privately held companies who are buying or selling businesses.
Sawan S. Patel
Sawan S. Patel is a corporate and franchise attorney who represents entrepreneurs, startups, franchisors, and international companies. He counsels clients on a variety of matters, including entity formation, contracts, domestic and international commercial transactions, mergers and acquisitions, franchising, contests and sweepstakes, and regulatory compliance. Sawan reviews and drafts contracts, such as distribution agreements, licenses, vendor agreements, equipment purchase and lease arrangements, non-disclosure and non-compete agreements, and business-to-consumer terms and conditions. He also counsels franchisors in structuring and operating their franchise systems by advising start-up franchisors in creating franchise systems and preparing annual franchise disclosure documents and registrations for established franchisors.
Charles S. Modell
Charles S. Modell has represented franchisors throughout the country in most every imaginable scenario over the course of his 40-year legal career. He counsels franchisors in every stage of their development, including the decision to franchise, preparation and registration of franchise documents, management of franchise relationships, franchise growth strategies, negotiation of supplier and joint venture agreements, and termination of franchise relationships. He also represents private equity companies and existing franchisors in buying and selling franchise companies.
